Entity: Happy Outing LLC (“Happy Outing,” “we,” “us,” “our”)

These Terms of Service (“Terms”) are a binding agreement between you and Happy Outing regarding your access to and use of the Happy Outing platform, websites, and related services (the “Service”). By creating an account, purchasing access, or using the Service, you agree to these Terms.

1. Definitions

  • “Service” means the Happy Outing web application, APIs, websites, and related services.

  • “Organizer” means the customer (person or entity) that creates Events using the Service.

  • “Organization” means the legal entity on whose behalf an Organizer uses the Service.

  • “Participant” means an individual person who interacts with or is invited to an Event, including those who submit a registration form, express interest, or are added to an Event by the Organizer.

  • “Registrant” means a Participant whose registration has been accepted and assigned a “registered/confirmed” status in the Service for a given Event. Only Registrants count toward Event tier thresholds and billing. Participants who are waitlisted, cancelled, or declined are not Registrants for billing purposes. Each Registrant is counted once per Event, regardless of later status changes or cancellations. Duplicate records for the same Participant within the same Event are considered a single Registrant.

  • “Event” means a single organized golf-related outing (e.g., tournament, charity outing, corporate golf event) with a defined start and end date. Each Event is treated as a distinct occurrence for billing. Multi-day or recurring series are separate Events unless covered under an Annual Unlimited Package.

  • “Annual Unlimited Package” means an Organization-level subscription allowing unlimited Events and Registrants during the paid term for the purchasing Organization only.

  • “Order” means the online checkout, order form, or in-app purchase specifying your tier, term, and pricing.


2. Eligibility & Accounts

You must be at least 18 years old and authorized to bind your Organization (if applicable). You are responsible for your account credentials and all activity under your account.

3. Acceptable Use & Prohibited Data

You agree not to misuse the Service, including by: (a) reassigning or repurposing a per-Event purchase for multiple Events; (b) attempting to circumvent usage limits or manipulate Registrant counts; (c) uploading unlawful, infringing, or harmful content; or (d) interfering with the security or operation of the Service.

Custom Registration Fields. Organizers may add custom registration questions. Organizers are solely responsible for the content of such questions and any information they request. Organizers may not request “Prohibited Data,” including: Social Security numbers; full payment card or bank account details; health or biometric data; government-issued IDs (except where legally required and clearly disclosed); sensitive categories (race, religion, sexual orientation, political affiliation, etc.); precise geolocation; or information from or about children under 13. We may suspend or terminate accounts that request or collect Prohibited Data.

4. Event Tiers, Registrants & Payments

  • Per-Event Tiers. Each purchase covers one Event only and may not be reassigned.

  • Billing Metric. Pricing and Event tier thresholds are based on the number of Registrants as defined above. Waitlisted, cancelled, or declined Participants do not count toward billing.

  • Annual Unlimited Packages. Subscriptions allow unlimited Events and Registrants for the purchasing Organization only. Unless cancelled at least 30 days before renewal, subscriptions automatically renew at then-current rates.

  • Fair Use. We may audit usage to confirm compliance and invoice for overages or misreported usage.

  • Tier Changes and Overages. Per-Event tier purchases are processed as one-time transactions through our payment provider and cannot be automatically upgraded once purchased. If your Event exceeds the Registrant limit of the purchased tier, you must contact our support team to arrange an upgrade or additional capacity. Upgrades may require a separate invoice or transaction, at our discretion.


5. Payments, Taxes & Refunds

  • Payment Processing. All payments are handled by third-party payment providers. We do not collect or store payment card numbers. We only receive limited transaction metadata (e.g., payment confirmation, subscription status).

  • Taxes. Fees exclude taxes; you are responsible for applicable taxes.

  • Refunds & Cancellations.
    All purchases are subject to our Refund & Cancellation Policy. That Policy is incorporated into these Terms by reference. In the event of any conflict, the Refund & Cancellation Policy governs payment-related issues.


6. Availability & Third-Party Services

The Service relies on third-party providers (infrastructure, payments, email, analytics, support). While we aim for high availability, the Service may be unavailable at times. We disclaim liability for outages or slowdowns, including those caused by third parties.

7. Data, Privacy & Retention

  • Ownership. You retain ownership of your Event data.

  • License. You grant us a license to process and display Event data to operate the Service.

  • Controller/Processor. For Event/Registrant data, you are the controller; we act as processor.

  • Retention. We do not automatically delete Event data. Organizers control deletion of Events or accounts, which permanently removes related data.


8. Intellectual Property & Feedback

We own the Service and related IP. You may not copy, reverse engineer, or create derivative works. You grant us a royalty-free license to use feedback to improve the Service.

9. Beta Features

Beta or experimental features may change or be discontinued at any time and are provided “as is.”

10. Suspension, Termination & Discontinuation

We may suspend or terminate accounts for violations, misuse, non-payment, or legal reasons. You may terminate by closing your account.

Discontinuation of Service. We may modify, suspend, or permanently discontinue the Service at any time. In the event of permanent discontinuation, we will use reasonable efforts to provide advance notice to Organizers. If you have paid fees for an upcoming Event that has not yet occurred, we may, at our discretion, provide a pro-rated refund. We will allow Organizers to export Event data before shutdown. After discontinuation, we have no obligation to maintain or provide access to data.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind.

12. Limitation of Liability

Our total liability for all claims is capped at the fees you paid in the 12 months prior to the claim. We are not liable for indirect, incidental, or consequential damages.

13. Indemnification

You agree to indemnify and hold harmless Happy Outing from claims arising out of your Events, data collection, or misuse of the Service.

14. Dispute Resolution

Disputes will be resolved by binding arbitration under AAA rules. You waive class actions and jury trials.

15. Governing Law

These Terms are governed by the laws of Florida. Venue for permitted court actions is Orange County, FL.

16. Publicity Rights

We may identify your Organization as a customer and use its name/logo in marketing unless you opt out in writing.

17. Subprocessors

We may use third-party subprocessors (infrastructure, analytics, email, support). A list is available upon request.

18. Support

The Service is provided without SLAs. We will use commercially reasonable efforts to support customers.

19. Changes

We may update these Terms. Material changes will be notified via email or in-app. Continued use constitutes acceptance.
